We need to make a few updates to our bylaws to establish authority for programming.
- Typically bylaws give responsibility for the setting of policy and the operation of the society to the Board of directors. These bylaws do not do that. They are really quite unusual.
- Bylaw 5 puts policy creation and establishment of procedures in the hands of 50%+ of the membership OR 50%+ of the board. To my mind, there is no question that includes programming policy and procedures. Whatever committee has been established to oversee that has hopefully been established by the membership or the board under bylaw 5 – if not, it may have no validity in its actions.
- However, I find bylaw five really odd. It sets up the society for the membership to set policy (which is fine) which can then be overturned by a 50%+ vote of the directors. Nothing says which decision would prevail. I recommend you fix that anomaly.
- As to committees, they typically have recommendation powers only on significant issues, delegated authority on routine matters. Over to you in which category programming falls. Bylaws don’t typically refer to specific committees, although they can. I would recommend you include a provision in the bylaws that makes it clear where the authority for programming sits.
